User Agreement for Shogun’s Empire

Welcome, and thank you for joining the world of Shogun’s Empire, a massively multiplayer online fantasy role-playing game ("Game") developed and operated by Sword & Shield Interactive ("Company", "we", "us", or "our"). This Terms and Conditions document ("Agreement") governs your access to and use of the Game, associated content, website(s), community features, customer support, payment systems, updates, and all other services and features provided under the Shogun’s Empire brand (collectively, the "Service").

This Agreement is a legally binding contract between you ("User", "you", or "your") and the Company. By downloading, installing, registering for, accessing, or using any part of the Service, you accept the terms outlined herein. If you do not agree to all the terms and conditions of this Agreement, do not access or use the Service.

  • 1. Grant of Limited License:
    Subject to your continued compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own entertainment purposes. This license is limited to use of the Game in object code form only. You acknowledge that no ownership interest or title is transferred to you through this license, and all rights not expressly granted are reserved by the Company and its licensors.
  • 2. Eligibility and Account Creation:
    You must be at least 13 years old, or the minimum legal age required in your jurisdiction to access online services, to register for an account or access the Service. If you are under 18 or the age of majority in your jurisdiction, you may only access the Service with permission and direct supervision of a parent or guardian. The Company disclaims any liability for unauthorized use by minors. You agree to provide accurate, current, and complete information during the registration process and to keep your credentials secure at all times.
  • 3. Account Responsibility and Conduct:
    You are responsible for all activity on your account. You agree not to share your login credentials with anyone. You must not use the Service for any unlawful, fraudulent, abusive, or unauthorized purposes. Prohibited behaviors include, but are not limited to: engaging in harassment or hate speech, using automation tools or bots, exploiting in-game mechanics or bugs, impersonating others, uploading harmful content, or attempting to reverse engineer the Game. Failure to adhere to our rules may result in temporary suspension or permanent account termination.
  • 4. Game Content and User-Generated Content:
    The Game may contain interactive elements, such as forums, chat, custom names, avatars, or user-submitted content ("UGC"). You retain ownership of your UGC but grant us a worldwide, royalty-free, perpetual license to use, reproduce, display, adapt, and distribute such content as part of the Service. We reserve the right to moderate, remove, or block any content that violates this Agreement, community guidelines, or applicable law. You agree not to submit any UGC that is obscene, defamatory, threatening, infringing, or otherwise unlawful.
  • 5. Virtual Goods and Currency:
    The Game may include virtual items such as weapons, armor, skins, or in-game currency. You acknowledge that such items have no cash value and are provided under a limited license. Virtual goods are not transferable between users, between accounts, or for any real-world consideration. All purchases are final, and we are not obligated to offer refunds unless required by law. We reserve the right to change item properties, availability, pricing, and inventory without prior notice.
  • 6. Payments and Billing:
    If you purchase Virtual Goods or Services, you agree to pay all fees and taxes due under your account. Prices may vary by region and are subject to change without notice. Payment methods are handled by third-party platforms, and you agree to their respective terms and conditions. If unauthorized payments or chargebacks are detected, we may suspend or terminate your account immediately. All purchases are subject to our Refund Policy, if applicable.
  • 7. Game Modifications and Service Updates:
    We reserve the right to modify or discontinue the Game or any portion thereof, temporarily or permanently, with or without notice. Updates may affect gameplay balance, character stats, save progress, availability of items, or the structure of the world. While we strive to improve the player experience, we are not liable for any loss arising from such changes. By using the Service, you agree that the Game is a dynamic, evolving experience and not a static product.
  • 8. Suspension and Termination:
    We may suspend or terminate your access to the Service for any reason, including but not limited to: breach of this Agreement, suspected fraud, prolonged inactivity, abusive conduct, or legal requirements. If your account is terminated, you forfeit access to all associated progress, items, currency, and privileges. You may request voluntary deletion of your account through customer support. Termination does not waive any rights or obligations accrued prior to the date of suspension.
  • 9. Privacy and Data Collection:
    By using the Service, you consent to our collection and processing of personal and behavioral data as described in our Privacy Policy. This includes data such as your IP address, device ID, session activity, purchases, communications, and user preferences. Data may be shared with third-party partners for analytics, fraud prevention, or operational purposes. We take security seriously but cannot guarantee absolute protection of your data. You have the right to access or delete your data upon request, subject to local laws.
  • 10. Disclaimer of Warranties:
    The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, error-free, or compatible with all devices. Your use of the Service is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
  • 11. Limitation of Liability:
    Under no circumstances shall the Company or its affiliates, employees, contractors, or licensors be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of profits, loss of reputation, or interruption of business. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.
  • 12. Indemnification:
    You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against all liabilities, damages, claims, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of your use or misuse of the Service, your breach of this Agreement, or your violation of any law or rights of a third party.
  • 13. Dispute Resolution:
    Any disputes between you and the Company shall first be attempted to be resolved informally. If no resolution is reached, the dispute will be submitted to final and binding arbitration under the laws and jurisdiction of the Company's principal place of business. You waive your right to trial by jury or to participate in any class action. This clause does not preclude injunctive relief or enforcement of intellectual property rights.
  • 14. Force Majeure:
    We shall not be held responsible for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor strikes, natural disasters, utility outages, or cyberattacks.
  • 15. Entire Agreement and Severability:
    This Agreement constitutes the entire understanding between you and the Company and supersedes all prior agreements related to the Service. If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remainder of the Agreement shall continue in full force and effect.

By continuing to access or use the Shogun’s Empire Service, you acknowledge that you have read, understood, and agreed to be bound by the most current version of this Agreement. We recommend printing or saving a copy for your records. Your continued use of the Game constitutes ongoing acceptance of these Terms and any future modifications.
